GDM Limited (“GDM” or the “Company”) is an independent consulting services company that provides business consulting including back office accounting, payroll and administration services. The Company also provides advice and assistance on the design and incorporation of offshore special purpose vehicles (SPV) and ongoing corporate administration services.

Accounting and corporate administration and consulting services is our core business and we are good at it—we perform these tasks for other clients so that they can focus on their core business. Traditional accounting and corporate administration functions are difficult for companies to staff given the “ebb and flow” nature of these activities—we manage this for our clients so they do not have to deal with these resourcing issues. We keep our overheads low which helps us to provide cost effective value added solutions for our clients.

Service Offering

GDM offers a full range of corporate and financial services to local and exempt companies. These services will include, but are not limited to:

  1. Accounting Services to include but is not limited to:
    a. Daily, quarterly and yearly accounting reconciliations
    b. Ledger maintenance
    c. Financial Reporting
    d. Management Reporting
    e. Treasury Management
    f. Adhoc customized management reporting as required
    g. Preparation of audit working papers
    h. Dealing with annual audit and related issues
    i. Preparation of statutory filing requirements
    j. Ensure compliance with the regulators

  2. Corporate Administration Services to include but is not limited to:
    a. Establish bank accounts and maintain banking records
    b. Liaising with the company's bankers, managers (where applicable), accountants and auditors and assisting with annual audits of the company
    c. Where applicable work with service providers in each jurisdiction to ensure compliance with local regulations
    d. Maintain company files and records in accordance with local regulations
    e. Preparing share transfers, share certificates, proxies, declarations of trust and other miscellaneous documents as may be required from time to time
    f. Managing the day to day affairs of the company, including, if required and authorised, signing or countersigning cheques and handling correspondence, faxes and telephone call
    g. Coordinate annual shareholder meetings

  3. Payroll and Benefits Administration Services to include but is not limited to:
    a. Registration of NewCo with the Tax Commissioner;
    b. Registration of each employee (and the Company);
    c. EFT payment of employee’s monthly payroll on the 25th of each month (or as defined by the Client);
    d. Preparation and distribution of electronic monthly payroll slips to each employee;

    e. Account management of health insurance, social insurance and other benefit/burden providers on a monthly basis;

    f.  Preparation and filing of quarterly payroll tax return;

    g. Monthly accounting summary report produced and sent to NewCo finance department.

  4. Contracts Administration Services to include but is not limited to:
    a.    Management of local IT, premises and other service provider contracts

  5. Financial Modeling

    a. Provide assistance to the client’s management team in developing product profitability models which will help them make product rationalization decisions

    b. Design Activity Based costing models which will assist clients in setting prices for its products and services.
    c. Set benchmarks for processes—establish targets for cost reduction
    d. Process Mapping and Documentation

    e. Management Reporting database development

  6. Software Development

    The Development  team produce high-complexity custom web applications and cloud infrastructure development, deployment, support, and maintenance. Custom PHP development with Symfony, Phalcon, or similar frameworks using different relational on NoSQL databases. Integration with absolutely any external API or service. Custom Javascript development using native ECMAScript 6, as well as jQuery or React libraries, Angular framework, etc. Creation of responsive, adaptive, and mobile-first pages with HTML and CSS.

     

    Custom cloud, virtual, or hardware infrastructure setup, configuration, troubleshooting, and continuous deployment (dozens of tools and libraries for all sorts of tasks within the infrastructure).

    The Development managing consultant meets with the  proposed project team leaders to plan and produce a detailed scope document that covers every facet of the project.

     

Pricing

The Company (initially) plans to charge minimum fees (relative to the competition) on a cost plus basis. The fee schedule will be flexible and will depend on the complexity of the consulting services being provided.

 

The Company will be able to offer competitive pricing due to operational excellence and because it will not be burdened with high overhead costs.

 

GD&M will provide detailed costs on a project by project basis.
